This site and the products we offer are intended only for individuals who are twenty-one (21) years of age or older.
By using our Services, you represent and warrant that you are at least twenty-one (21) years of age and legally permitted to purchase and receive alcoholic beverages in your jurisdiction.
If you are not of legal drinking age, you are not permitted to access or use our Services or purchase any products from us.
To use the Services, including accessing or browsing our online stores or purchasing any of the products we offer, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all information you provide is accurate, current, and complete.
You are solely responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to any other person.
SECTION 2 - OUR PRODUCTS
We make every effort to accurately represent our wines and related products. However, wine is a natural agricultural product, and variations between vintages, lots, and bottlings are normal and expected.
Tasting notes, descriptions, and technical details (including but not limited to flavor profile, structure, alcohol level, vineyard source, and appellation) are provided for general informational purposes only and may vary from bottle to bottle. Individual perception of taste and aroma will differ.
Product images, label designs, packaging, and color may vary from what is displayed on your screen due to device settings, production changes, or vintage updates.
We reserve the right to modify, update, or discontinue any product at any time without notice. We may also substitute a comparable vintage or equivalent wine when necessary, unless otherwise prohibited by law.
All wines are offered subject to availability. We reserve the right to limit quantities per order, customer, or region, including for limited releases, allocated wines, or promotional offers.
We do not guarantee that any product will meet your personal taste preferences.
SECTION 3 - ORDERS
When you place an order, you are making an offer to purchase. We reserve the right to accept, decline, cancel, or limit any order at our sole discretion.
Your order is not accepted until we confirm it. We must receive and process payment before an order is accepted.
You represent and warrant that you are at least twenty-one (21) years of age and that your purchase is for personal use only and not for resale or commercial distribution.
We reserve the right to require age verification prior to accepting or fulfilling any order containing alcohol.
Please review your order carefully before submitting. Once an order is placed, we may not be able to modify or cancel it.
All sales are final. We do not offer refunds or exchanges. Any exceptions are made solely at our discretion on a case-by-case basis.
We reserve the right to limit quantities per order, customer, household, or region, including for allocated wines, limited releases, or promotional offers.
In the event we need to cancel, modify, or limit an order, we will attempt to notify you using the contact information provided at checkout.
All purchases are subject to applicable wine shipping laws.
SECTION 3.5 - WINE CLUB
By enrolling in our Wine Club, you agree to receive recurring shipments of wine and to be charged automatically for each shipment in accordance with your selected membership.
You authorize us to charge your provided payment method for all recurring shipments, including applicable taxes, shipping, and handling fees, at the time each order is processed.
Wine Club shipments are released on a recurring basis (as determined by the membership), and billing will occur prior to shipment. It is your responsibility to ensure that your payment method, billing information, and shipping address are current and accurate.
All Wine Club shipments are final. We do not offer refunds or exchanges on Wine Club orders. Any exceptions are made solely at our discretion on a case-by-case basis.
You may modify, skip, or cancel your membership prior to the applicable billing date. Once a Wine Club order has been processed or charged, it cannot be canceled, modified, or refunded.
You represent and warrant that you are at least twenty-one (21) years of age and that any Wine Club shipments will be received by a person of legal drinking age. Adult signature requirements apply to all shipments where required by law.
We reserve the right to substitute wines of equal or greater value in any shipment, including for limited releases, inventory changes, or production variations.
We reserve the right to modify Wine Club benefits, pricing, shipment frequency, or membership terms at any time. Any changes will be reflected on our website and/or communicated to members as required.
We may cancel or suspend your Wine Club membership at any time, including for failed payments, suspected fraud, or violation of these Terms.
SECTION 4 - PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs or import charges.
Due to the nature of the wine industry, prices for the same products may vary by state, market, distributor, or sales channel. Prices offered through our website may differ from those offered through retailers, restaurants, distributors, or third-party platforms.
We reserve the right to correct any errors, inaccuracies, or omissions related to pricing or product information at any time, including after an order has been placed. In such cases, we may cancel or adjust your order and will notify you accordingly.
Promotions, discounts, and special offers may be subject to additional terms and may be modified or discontinued at any time without notice.
You represent and warrant that (i) the credit card information you provide is true, correct, and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, including shipping and handling charges and all applicable taxes, if any.
SECTION 5 - SHIPPING AND DELIVERY
We ship wine only to jurisdictions where it is permitted by law. All shipments containing alcohol may require an adult signature (21+) upon delivery.
You are responsible for providing an accurate shipping address where an adult of legal drinking age will be available to receive the shipment. We are not responsible for failed delivery attempts, returned shipments, reshipment fees, or delays caused by incorrect information or inability to obtain a valid adult signature.
Delivery timelines are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, weather, regulatory holds, or events outside our control.
We reserve the right to delay shipment due to extreme weather or temperature conditions in order to protect the quality of the wine.
Once your order is transferred to the carrier, title and risk of loss pass to you. Any claims for loss, damage, or delay in transit must be made directly with the carrier.
We are not responsible for damage to wine caused by weather exposure, transit conditions, or delays once the shipment has been handed off to the carrier.
SECTION 6 - INTELLECTUAL PROPERTY
Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by Grand Napa Vineyards, its affiliates or licensors and are protected by U.S. and foreign patent, copyright and other intellectual property laws.
These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of Grand Napa Vineyards, Shopify or any third party. Unauthorized use of the Services may be a violation of federal and state intellectual property laws. All rights not expressly granted herein are reserved by Grand Napa Vineyards.
Grand Napa Vineyards's names, logos, product and service names, designs, and slogans are trademarks of Grand Napa Vineyards or its affiliates or licensors. You must not use such trademarks without the prior written permission of Grand Napa Vineyards. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new features through the Services (including the release of new tools and resources). Such new features shall also be deemed part of the Services and are subject to these Terms of Service.

We are not liable for any harm or damages related to your access of any third-party websites, or your purchase or use of any products, services, resources, or content on any third-party websites. Complaints, claims, concerns, or questions regarding third-party products and services should be directed to the third-party.
SECTION 9 - RELATIONSHIP WITH SHOPIFY
Grand Napa Vineyards is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Grand Napa Vineyards. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Grand Napa Vineyards, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Grand Napa Vineyards.

We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order).

(d) to misrepresent your age, identity, or eligibility to purchase alcohol;
(e) to provide false, inaccurate, or misleading information when placing an order or creating an account;
(f) to interfere with or circumvent any age verification processes or security features of the Services;
(g) to transmit false or misleading information, or engage in fraudulent activity;
(h) to upload or transmit viruses or any other malicious code that may affect the functionality or operation of the Services;
(i) to collect or track the personal information of others;
(j) to spam, phish, scrape, or use automated systems, bots, or similar tools to access or interact with the Services;
(k) to impersonate any person or entity, or otherwise mislead us or others;
(l) to engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or that may harm us, our customers, or our partners.

We may terminate this agreement or your access to the Services (or any part thereof) in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.
The following sections will continue to apply following any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

The information presented on or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. EXCEPT AS EXPRESSLY STATED BY GRAND NAPA VINEYARDS, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE, REPRESENT OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SECTION 18 - INDEMNIFICATION
You agree to indemnify, defend and hold harmless Grand Napa Vineyards, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims, including reasonable attorneys' fees, payable to any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.
We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. You and Grand Napa Vineyards consent to venue and personal jurisdiction in such courts.
